These Terms of Service (“Terms”) govern your access to and use of the CreditVigil platform and services, operated by Ampersands AI Inc. (“CreditVigil,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms.

Acceptance of Terms

By accessing or using CreditVigil's website, platform, or any related services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Service

CreditVigil provides independent credit model monitoring services for lending institutions, including but not limited to:

• Credit scorecard performance monitoring (Gini coefficient, KS statistic, PSI tracking).
• Portfolio risk analysis including vintage curves, roll rate matrices, and concentration analysis.
• Drift detection and early warning alerts delivered via email, dashboard, and WhatsApp.
• Portfolio health check reports and ongoing monitoring dashboards.

Services are offered across multiple tiers (Lite, Pro, and Enterprise) as described on our Pricing page. Features, limits, and pricing may vary by tier and are subject to change with reasonable notice.

User Obligations

As a user of CreditVigil, you agree to:

• Provide accurate, complete, and up-to-date loan portfolio data as required for the monitoring services you have subscribed to.
• Ensure that any data you provide to CreditVigil has been appropriately anonymized and does not contain personally identifiable information (PII) of individual borrowers unless explicitly agreed upon in writing.
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
• Use the services only for lawful purposes and in compliance with all applicable laws and regulations.
• Not attempt to reverse-engineer, decompile, or extract proprietary algorithms or methodologies from our platform.

Data and Privacy

Your data is handled in accordance with our Privacy Policy. In addition:

• A mutual non-disclosure agreement (NDA) will be executed before any loan portfolio data is exchanged or processed.
• All data is encrypted using TLS 1.3 in transit and AES-256 at rest.
• You retain ownership of all loan portfolio data you provide to us. CreditVigil is granted a limited license to process this data solely for the purpose of delivering the monitoring services.
• CreditVigil may use anonymized, aggregated data to improve its algorithms and benchmark analytics, provided such data cannot be attributed to any individual client.

Intellectual Property

All intellectual property rights in the CreditVigil platform, including but not limited to software, algorithms, models, dashboards, reports, documentation, and branding, are and remain the exclusive property of Ampersands AI Inc. These Terms do not grant you any ownership rights in our intellectual property. Reports and analyses generated for your portfolio are licensed to you for your internal business use only and may not be redistributed or resold without our prior written consent.

Limitation of Liability

To the fullest extent permitted by applicable law:

• CreditVigil provides its services on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of our monitoring outputs.
• CreditVigil shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the services.
• Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to CreditVigil during the twelve (12) months preceding the claim.
• CreditVigil's reports and alerts are intended as decision support tools and do not constitute financial, legal, or investment advice. You are solely responsible for any lending or business decisions made based on our outputs.

Termination

Either party may terminate the service agreement with 30 days' written notice. CreditVigil reserves the right to suspend or terminate access immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that could harm the platform or other users. Upon termination, your access to the platform and dashboards will be revoked. You may request export of your data within 30 days of termination, after which it will be securely deleted.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless both parties agree to jurisdiction in the courts of Delaware.
